Terms of service

Last updated: 2 October 2026

These terms are the agreement between your company and Mostly Cloudy Ltd, trading as MostlyCloudy, a company registered in England and Wales, number 16564773, whose registered office is 18 Armstead Road, Pendeford, Wolverhampton, England, WV9 5RF ("we", "us"). They apply from the moment anyone at your company signs in and uses the platform at mostlycloudy.co.uk.

They are written for businesses. If you are signing up on behalf of a company, you are confirming you are allowed to agree to this for them. Nothing here takes away a right you have by law that cannot be signed away.

1. What the service is

MostlyCloudy is a set of apps for running a contracting business, used by everyone on your account: job records and photos, whereabouts and dispatch, timesheets, holiday, RAMS and risk assessments, toolbox talks, vehicle and plant checks, training and tickets, policies, incident reports and the rest of the apps shown on your account. Which apps you see depends on what was agreed when we spoke.

We add, change and retire apps as the platform develops. We will not remove something you rely on without telling you first and giving you a way to get your records out.

2. Getting an account

Accounts are not opened by filling in a form. You apply for access, we call you, and we set the account up with you. That call is where your price, your term and which apps you get are agreed, and what we agree there is part of this contract.

3. Your account and your people

You decide who at your company gets a sign-in and what they can see. You are responsible for what those people do with it, for keeping sign-in details to themselves, and for removing people who leave. Tell us at support@mostlycloudy.co.uk as soon as you think somebody has got into an account who should not have.

4. What you pay

5. Ending it

Month to month. Cancel whenever you like. It ends at the end of the month you have paid for, and we do not charge you again.

On a 24 month term. The lower price is in exchange for the 24 months, so the term runs for its length. You can tell us at any time that you do not want to renew, and at the end of the 24 months the account simply stops. If you need to end a term early, talk to us: we would rather agree something sensible than hold a company to a contract it cannot use.

We may end this agreement, or suspend an account, if an invoice goes badly overdue or if the platform is being used in a way that breaks section 6. Where it is a breach we can sensibly give you the chance to put right, we will tell you and give you that chance first.

When an account ends you can ask us for your records and we will give them to you in a form you can use. See section 9 for how long we keep them afterwards.

6. Using it properly

The platform may not be used to:

7. Keeping it running

We aim for 99.5% uptime each month, and we do not promise it will never be down. Planned work is done at quiet times and we tell you first where we can. If you lose a meaningful stretch of service, get in touch and we will sort out a credit.

8. Who owns what

Your records are yours. Nothing you put on the platform becomes ours, and we do not sell it, share it with anyone else's business or use it to train anything.

The platform itself, its software, look and name are ours. While you are a customer you may use it for your own business. You may not copy it, take it apart to work out how it is built, or sell access to it to anybody else.

9. Data protection

Your people's records are personal data, and the law divides the responsibility. For everything your company puts on the platform, you are the controller and we are the processor. You decide what to record and why; we hold it and do what the platform does with it. For the small amount we hold about you as a customer - who we spoke to, billing, support messages - we are the controller, and our privacy policy covers that.

This section and Schedule 1 are our agreement under Article 28 of the UK GDPR. We will:

Your data is held on servers in the United Kingdom. We will not move it outside the UK without telling you first and putting the protections the law requires in place.

When an account ends you have 30 days to ask for your records, and we will give them to you. After that we delete them, apart from billing records, which we keep for six years because HMRC requires it, and backups, which roll off on their own schedule within 90 days.

10. Keeping it safe

Sign-ins are protected, traffic is encrypted, records are backed up, and who can see what is controlled by the roles you set. We keep a log of sign-ins and of what is opened, which is how a question about who changed something can be answered.

11. Health and other sensitive records

Some of what this platform is for is sensitive by its nature. An incident report describes an injury; a duty of care record, a return to work or an absence may say something about somebody's health. That is health data, which the law calls special category data, and the platform is built to hold it because a contractor has to keep those records.

So we do not forbid it, and you do not need a separate agreement with us to record it. What you do need is your own reason in law for holding it - for most employers that is the obligation to keep health and safety records and to manage employment - and to tell your people you are doing it. We handle it the way we handle the rest of your records and do not use it for anything else.

What the platform is not for is medical records beyond what running a site safely needs, or anything about somebody's race, politics, religion, union membership, sex life or sexual orientation. Do not put those on it.

12. If something goes wrong

We do not limit our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

Beyond that, neither of us is liable to the other for lost profits, lost business or losses nobody could reasonably have seen coming, and our total liability in any 12 months is limited to what you paid us in those 12 months.

The platform is provided as it is. We do not promise it is free of faults, and we do not promise it will fit a purpose you have not told us about.

13. Changes to these terms

We may change these terms. If a change matters to you we will email you at least 30 days before it takes effect. If you are on a 24 month term and you do not accept a change that leaves you worse off, tell us within those 30 days and you can end the term without penalty.

14. The law that applies

These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.

Schedule 1. What we process for you

Set out here because Article 28 requires it to be written down.
